Terms
Terms, plainly.
These terms govern your use of sumvant.com (the “Site”), operated by Sumvant (“Sumvant,” “we,” “us”). By using the Site you agree to them. If you do not agree, please do not use the Site.
These terms cover the website only. Any work Sumvant performs for a client is governed by the written services agreement signed for that engagement, which controls over these terms where the two differ.
What the Site is
The Site describes Sumvant’s services and lets you contact us, complete a discovery form, and book a call. It is provided for general information. Nothing on it is legal, medical, pharmacy, financial, or compliance advice, and nothing on it creates a client relationship. A relationship with Sumvant begins only when a services agreement is signed.
Demonstrations and examples
The demonstrations on the Site run on fictional data in a sandbox. Business names, people, records, and results shown in them are invented, and are labeled as such. Figures we publish about our own operations are counted from our own run records and release checks; they describe our work to date and are not a promise of results for any particular client.
Using the Site
You may use the Site for its intended purpose: learning about Sumvant and getting in touch. You agree not to:
- submit information you do not have the right to share, including protected health information, credentials, or payment details;
- use automated means to scrape, copy, or load the Site beyond ordinary browsing;
- probe, scan, or test the Site’s security, or interfere with its operation;
- misrepresent who you are or whom you represent when you contact us.
We may limit or block access to the Site to protect it or others.
Submissions
When you send us a discovery form, booking, or email, you give us permission to use what you sent to respond to you and evaluate whether we can help. You confirm you are entitled to share it. How we handle it is described in our Privacy Policy.
Intellectual property
The Site and its content, including text, design, the Sumvant name and wordmark, demonstrations, and software, belong to Sumvant or its licensors and are protected by copyright and trademark law. You may view the Site and print pages for your own evaluation of our services. Any other use, including reproduction, distribution, or creating derivative works, requires our written permission. Names of third party software mentioned on the Site belong to their owners; mentioning them means our agent has worked inside them, not that those companies endorse or are affiliated with Sumvant.
Third party services
The Site uses Google Calendar for bookings and is hosted on Cloudflare. Your use of those services is subject to their terms and privacy policies. We do not control them and are not responsible for them.
Disclaimer
The Site is provided “as is” and “as available.” To the fullest extent permitted by law, Sumvant disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and noninfringement, and does not warrant that the Site will be uninterrupted, free of errors, or free of harmful components.
Limitation of liability
To the fullest extent permitted by law, Sumvant will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Site. Sumvant’s total liability for any claim relating to the Site will not exceed one hundred US dollars. Nothing in these terms limits liability that cannot be limited under applicable law. Liability for client engagements is addressed in the services agreement, not here.
Indemnity
You agree to indemnify Sumvant against claims, losses, and expenses, including reasonable attorneys’ fees, arising from your breach of these terms or your misuse of the Site.
Governing law and disputes
These terms are governed by the laws of the State of New Jersey, without regard to its rules on the conflict of laws. Any dispute relating to the Site will be brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction. Before filing, you agree to contact us at [email protected] and allow 30 days to resolve the matter informally.
Changes
We may update these terms by posting a new version here with a new effective date. Continued use of the Site after a change means you accept it.
General
If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between you and Sumvant about the Site. You may not assign them; we may assign them to a successor.
